Capitalized words have meanings defined below. These meanings apply whether the words appear in singular or plural.
b. Definitions
For the purposes of these Terms of Use:
- Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of voting equity.
- Client means any third-party company employing the Company to provide the Service.
- Company, We, Us, Our means Botmedica Ltd, trading as NovaVoiceRealty.
- Country means the United Kingdom of Great Britain and Northern Ireland, unless otherwise specified.
- Device means any device that can access the Service, such as a computer, mobile phone, or tablet.
- Feedback means feedback, innovations, or suggestions sent by You regarding the Service.
- Service means Our AI voice agent platform, including inbound and outbound call handling, call recordings, telephony integrations (e.g., Twilio, Google, OpenAI), calendar and CRM integrations, and related features.
- Subscription Plan means the tiered, fee-based subscription model offered by the Company, which may include a free trial.
- Terms of Use or Terms means this agreement between You and the Company regarding the use of the Service.
- Third-party Integration means any service or content provided by a third party that may be displayed, included, or made available by the Service.
- Website means our website at https://novavoicerealty.com.
- You means the individual accessing or using the Service, or the company or other legal entity on whose behalf such individual is accessing or using the Service.
2. Acknowledgment
These Terms govern your access to and use of the Service. By using the Service, You agree to be bound by them. If You do not agree, do not use the Service.
You confirm that You are:
- Over 18 years old;
- Compliant with local laws; and
- Responsible for ensuring call recording consent in your jurisdiction.
- If You use the Service on behalf of an entity, You warrant that You have authority to bind that entity.
- Your use is also subject to Our Privacy Policy. Certain features may involve automated decision-making or profiling, such as routing calls or generating AI responses, as described in our Privacy Policy.
3. Account Registration and Security
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for safeguarding your password or API credentials.
- Notify Us promptly of any unauthorized account access or security breach.
4. Subscription Plans and Free Trial
- Access is via tiered Subscription Plans. Features, fees, and payment terms are detailed on the Website or in ordering documents.
- Fees are payable in advance unless otherwise agreed in writing.
- Free trials last 14 days unless otherwise stated. We may change or terminate trials at any time.
- Subscriptions renew automatically unless cancelled in line with our cancellation policy.
- To avoid charges, cancel at least 24 hours before renewal. No prorated refunds for mid-cycle cancellations.
5. Call Recording and Consent Obligations
- User Responsibility: The Service may record inbound and/or outbound calls. You are solely responsible for ensuring compliance with all applicable call recording, interception, and consent laws in every jurisdiction where You and call participants are located.
- Consent Requirements:
- United States: Certain states require all parties to consent (“two-party consent”), while others require only one party’s consent (“one-party consent”).
- United Kingdom: Call recording is regulated under the UK GDPR, the Privacy and Electronic Communications Regulations, and related laws.
- Pre-Call Notifications: The Service provides tools to play pre-recorded consent messages before a call begins. You are responsible for enabling and configuring them to comply with applicable law.
- Allocation of Liability : Company disclaims all liability for any fines, penalties, damages, or claims resulting from Client’s non-compliance with applicable call recording, monitoring, or disclosure laws.
- Prohibited Use – You must not use the Service to record calls without legally valid consent or in violation of privacy laws.
6. Your Responsibilities
You agree to:
- Use the Service lawfully and in accordance with these Terms.
- Ensure all transmitted data, audio, or content complies with applicable law.
- Not upload or transmit unlawful, harmful, infringing, defamatory, or abusive content.
- Comply with all contractual or legal obligations arising from Your use, including those imposed by third-party integration providers.
- Indemnify, defend, and hold harmless the Company, its Affiliates, officers, and employees from and against any claims, fines, penalties, damages, or expenses (including reasonable legal fees) arising from Your misuse of the Service or failure to comply with applicable law, including but not limited to: (i) failure to obtain legally valid consent for call recording or monitoring; and (ii) failure to make required disclosures to End Users regarding call recording, use of AI assistants, or other legally required notices.
Prohibited uses include:
- Spam, harassment, or fraudulent calls;
- Reverse engineering or scraping data;
- Violating third-party terms, by way of example and not limitation, Twilio’s Acceptable Use Policy.
- We may suspend or terminate access if You breach these responsibilities.
Third-Party Integrations
- The Service may integrate with providers such as Twilio, Google, OpenAI, and CRM/calendar systems.
- We do not control, and are not responsible for, the availability, functionality, or terms of such integrations.
- If a third-party provider changes its APIs, pricing, or terms, We may modify or discontinue related features without liability.
- You must comply with applicable third-party terms.
Data Backup Disclaimer
- You are solely responsible for maintaining your own backups of critical data.
- While We use reputable cloud backups, We do not guarantee they will be free from data loss or corruption.
- We recommend exporting call logs and recordings regularly and storing critical data externally.
7. Intellectual Property
The Service, content, features, and functionality (excluding content provided by You) are the exclusive property of the Company and its licensors. Our trademarks may not be used without prior written consent.
8. Feedback
If You submit Feedback, You grant Us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, and modify it for any purpose. If You mark Feedback as “Confidential,” We will not disclose it publicly.
9. Termination
We may suspend or terminate Your account if You:
- Breach these Terms;
- Fail to pay subscription fees;
- Misuse the Service; or
- Violate third-party terms by way of example not limitation OpenAI’s policies.
- Upon termination, Your right to use the Service ceases immediately.
- No refunds are provided post-termination, except as required by law.
10. Limitation of Liability
- To the fullest extent permitted by law:
- Our liability is capped at the greater of (a) the total fees paid by You in the 12 months preceding the claim, or (b) £100 GBP.
- We are not liable for indirect or consequential damages, including loss of profits or data, or for failures caused by third-party integrations or Your misconfiguration.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be excluded by law.
11. “AS IS” Disclaimer
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. We do not guarantee uninterrupted or error-free operation, or that defects will be corrected.
12. Governing Law and Dispute Resolution
- UK Clients: Governed by the laws of England & Wales; disputes resolved in London courts.
- US Clients: Governed by Delaware law; Any dispute shall first be submitted to mediation via AAA or JAMS. If unresolved, disputes shall be resolved by binding arbitration administered by AAA under its Commercial Arbitration Rules. Class actions and jury trials are waived to the fullest extent permitted by law.
- EU Clients: GDPR-related disputes may be addressed via relevant Data Protection Authorities.
13. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via the Service or email. Continued use after changes take effect constitutes acceptance.
14. Miscellaneous
- Severability: If any clause is invalid, the rest remain enforceable.
- Force Majeure: We are not liable for delays caused by events beyond our reasonable control including but not limited to internet or telecommunications outages, failures of third-party APIs or integrations, strikes, pandemics, and government actions
- Survival: Sections on IP, liability, and confidentiality survive termination.
